GovOps, Inc. Terms and Conditions

Welcome to GovOps, Inc. (“GovOps, Inc.”, “we”, “us”, or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, platform, mobile apps, products, services, and related tools (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization, and “you” will refer to that organization.
By accessing or using GovOps, Inc., you agree to be bound by these Terms. If you do not agree, please discontinue using our Services immediately.
1. Definitions
GovOps, Inc. helps federal, state, and local government contractors, agencies, and advisors identify opportunities, manage proposals, and streamline their contracting operations.
These Terms outline your rights, responsibilities, and limitations when using our Services.
If you are using GovOps, Inc. on behalf of a business or organization, you represent that you are authorized to accept these Terms on its behalf.
Account: Your registered account on the Service.
Customer / You: The individual or organization that registers for an Account.
User: Any individual authorized by Customer to access the Service under Customer’s Account.
Subscription: A paid plan, trial, or other arrangement under which Customer receives access to the Service.
Content: Text, files, data, documents, templates, code, or other materials uploaded to or created using the Service.
Third-Party Services: External services, software, data sources, or integrations (e.g., calendars, document stores, vendor APIs) that connect to or work with the Service.
2. Use of Services
You agree to use GovOps, Inc. only for lawful purposes and in compliance with all applicable U.S. laws and regulations, including federal acquisition regulations.
You agree not to:
Copy, scrape, or resell data from GovOps, Inc. without written permission.
Share login credentials or provide access to unauthorized users.
Attempt to hack, disrupt, or reverse-engineer any part of the platform.
Use GovOps, Inc. data for misleading or competitive purposes.
GovOps, Inc. reserves the right to suspend or terminate accounts violating these policies.
3. Account Registration
To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You must immediately notify info@govops360.com if you suspect unauthorized access to your account.
4. SMS Communications & Terms of Service
If you consent to receive conversational, informational and promotional SMS from GovOps, Inc., you agree to receive conversational and informational SMS messages from us.

5. Subscriptions, Fees & Payment
Fees: Access to paid features requires a subscription. Fees, billing cycles, and payment terms are described on the ordering page or agreement. All fees are non-refundable unless explicitly stated.
Payment: You agree to provide a valid payment method. You authorize GovOps, Inc. to charge the payment method for all fees. If a payment fails, we may suspend or terminate access until payment is received.
Taxes: You are responsible for all taxes (excluding taxes based on our net income) related to your purchase.
Changes: GovOps, Inc. may change fees, but price changes will not apply to prepaid subscriptions during an active paid term.
6. Data Sources and Accuracy
GovOps, Inc. aggregates and organizes publicly available government data from multiple sources (e.g., SAM.gov, Grants.gov, USASpending.gov, and official state procurement sites**).
While we strive for accuracy and freshness, GovOps, Inc. does not guarantee that data is complete, current, or error-free. Users should verify information through official government portals before making business decisions.
7. Use of Service & Restrictions
Permitted Use: You may use the Service for lawful business purposes consistent with these Terms.
Prohibited Conduct: You will not (and will not allow others to):
– Use the Service in violation of any law, regulation, or third-party rights;
– Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code except to the extent permitted by law;
– Interfere with or disrupt the Service or servers/networks;
– Transmit viruses, malware, or harmful code;
– Scrape, crawl, or bulk-download data unless explicitly allowed;
– Remove or alter proprietary notices or labels.
Account Limits: We may impose limits on storage, API usage, and number of Users. Exceeding limits may incur additional fees or restrictions.
8. Customer Data & Privacy
Customer Data: You retain ownership of Content you upload to the Service. You grant GovOps, Inc. a limited, worldwide, royalty-free license to store, copy, transmit, display, and otherwise use Customer Data as necessary to provide the Service.
AI & Aggregation: If you use AI features, you may provide data that the system uses to generate outputs. GovOps, Inc. may use aggregated, anonymized usage data to improve the Service, subject to privacy commitments and applicable law. We will not use your confidential data to train models in ways that reveal your proprietary information, except as described in your agreement or with your consent.
Privacy Policy: Our Privacy Policy explains how we collect, use, and disclose personal data. By using the Service you consent to our Privacy Policy.
9. Security & Compliance
Security Measures: We maintain administrative, technical, and physical safeguards designed to protect Customer Data. We cannot guarantee absolute security.
Customer Responsibilities: You are responsible for securing user credentials, controlling access, and complying with any regulatory requirements applicable to your use of the Service (e.g., recordkeeping, audit, data residency where required).
Government Data: If you upload government-sensitive data (e.g., controlled unclassified information), you must notify us before uploading. Additional terms, controls, or certifications may be required. We will work with you to establish appropriate safeguards, but you remain responsible for compliance with laws/regulations governing such data.
10. Third-Party Integrations & Services
Third-Party Providers: The Service may integrate with or link to Third-Party Services. Government approvals or credentials for those services are your responsibility.
No Endorsement: GovOps, Inc. is not responsible for the performance, privacy, or security of Third-Party Services. Use them at your own risk.
Data Flow: Integration may require the exchange of credentials and data; you authorize such exchanges when you enable integrations.
11. Intellectual Property
GovOps, Inc. IP: All rights, title, and interest in the Service, software, website, designs, text, and underlying technology are owned by GovOps or its licensors. These Terms do not grant you any ownership in GovOps, Inc. IP.
Customer Content: You retain ownership of your Content. You grant GovOps, Inc. a license to use Content as required to provide the Service.
Feedback: If you provide feedback or suggestions, you grant GovOps, Inc. a perpetual, worldwide, royalty-free license to use and incorporate that feedback.
12. Confidentiality
Each party agrees to keep confidential the other party’s non-public information marked confidential or reasonably understood to be confidential (“Confidential Information”). Confidential Information does not include information that is public, independently developed, or rightfully received from a third party without restriction. The receiving party will use Confidential Information only to perform its obligations and will take reasonable measures to protect it.
13. Warranties & Disclaimers
Limited Warranty: GovOps, Inc. warrants that we will provide the Service materially in accordance with documentation and reasonable industry standards.
DISCLAIMER: EXCEPT FOR THE LIMITED WARRANTY ABOVE, THE SERVICE IS PROVIDED “AS IS.” GovOps, Inc. DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. GovOps, Inc. DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
14. Limitation of Liability
To the maximum extent permitted by law, GovOps, Inc. AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS AND THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNTS PAID BY CUSTOMER TO GovOps, Inc. FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. IN NO EVENT WILL GovOps, Inc. BE LIABLE FOR (A) LOST PROFITS, (B) LOSS OF BUSINESS, (C) LOSS OF DATA, (D) CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15. Indemnification
You agree to indemnify, defend, and hold harmless GovOps, Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
(a) your use of the Service in violation of these Terms
(b) your Content
(c) your breach of third-party rights
(d) claims arising from your violation of applicable laws.
16. Suspension & Termination
For Cause: GovOps, Inc. may suspend or terminate access for breaches, non-payment, illegal activity, or threats to security.
For Convenience: Subject to the subscription agreement, either party may terminate with prior notice as specified in the Service Order.
Effect of Termination: On termination, Customer access ends. We may delete Customer Data after a reasonable period unless otherwise required to preserve records. You should export any data before termination. For paid subscriptions, termination does not relieve Customer of unpaid fees.
17. Data Export & Retention
Following termination, GovOps, Inc. will retain Customer Data for a reasonable retention period described in our documentation or as required by law. You may request data export; we will provide reasonable assistance at our then-current fees.
18. Changes to the Service & Terms
GovOps may modify or discontinue features. We may update these Terms from time to time; we will post changes and provide notice when required by law. Continued use after changes constitutes acceptance. For material changes, we will provide more prominent notice.
19. Governing Law & Dispute Resolution
These Terms are governed by the laws of [Your State/Country]. Except as required by law, disputes will be resolved first by informal negotiation. If unresolved, parties agree to [binding arbitration / courts of competent jurisdiction] in [Location], except where injunctive relief is necessary.
20. Export & Compliance
You will comply with all export and import laws and regulations. You will not use or permit the Service in violation of any applicable sanction, export control, or anti-boycott laws.
21. Miscellaneous
Entire Agreement: These Terms, the Privacy Policy, and any Service Order form the complete agreement.
Severability: If any provision is unenforceable, the remainder remains in force.
Assignment: You may not assign rights without our prior consent; we may assign to affiliates or in connection with mergers.
Notices: Notices to GovOps, Inc. should be sent to the address on our website; notices to you may be provided by email.
22. Governing Law
These Terms are governed by and interpreted in accordance with the laws of the State of Maryland, United States, without regard to conflict of law principles.
Any disputes will be handled in the appropriate state or federal courts located in Maryland.
